New coverage · August 2026: Sezzle reported Q2 2026 after the close on August 6, 2026. Figures below are verified against the company's SEC Form 8-K (Item 2.02) earnings release[1]; estimate context and the tape reaction are from Benzinga Pro and the after-hours session[2].
House View: A genuine growth machine that just told you it's downshifting (August 2026). Sezzle delivered its headline: revenue of $149.7M grew 51.7% to a quarterly record (Street ~$135M), GMV of $1.3B grew 37.9%, GAAP diluted EPS of $1.17 (+50%) crossed the wire as a beat against a ~$1.03 estimate — though the cleaner adjusted figure is $1.13 (+61%, helped less by a $1.9M discrete tax benefit) — and management delivered its third guidance raise of the year (FY26 adjusted net income to $185M, adjusted EPS to $5.25, revenue growth to 35%). The stock still fell roughly 13% after hours, spiking to ~$180 before collapsing to ~$146, and the release explains why. First, the raised guide implies a flat second half: H1 adjusted net income was ~$92M, so $185M for the year leaves ~$93M for H2 — near-zero sequential growth into BNPL's seasonally strongest quarters. Second, credit costs are building by design: the provision ran 2.4% of GMV in Q2 (+48% YoY in dollars) with management reiterating a FY target of 2.5–3.0%, meaning provisions rise through H2 — the mechanical reason the guide is flat — while the new products (SezzleCash cash advances, Sezzle Send installment-funded P2P) push further out the credit-risk curve. Third, growth is increasingly bought: marketing spend more than doubled to $19.4M to produce the record 854K subscribers (+76%), and revenue outgrowing GMV (take rate 11.7% vs 10.6%) means pricing/attach is doing the work, not volume. On a 33x-forward multiple, with 13.4% of the float short, a crowded momentum long base, and the sell-side mean target already below the stock ($163.67 pre-print, per Oppenheimer/KBW valuation downgrades earlier this year), decelerating unit economics were the one thing the print couldn't contain. Our probability-weighted fair value of ~$138 sits modestly below the ~$147 after-hours tape: we respect the model (63.5% revenue-less-transaction-costs margin, 38.8% adjusted EBITDA margin, a new $300M Mesirow facility that cuts funding costs ~290bps) but expect the provision build and the flat H2 to cap the multiple until the credit data proves benign.

THE GUIDANCE ARC — WHY A RAISE READ AS A SLOWDOWN
| FY2026 guide | Nov 2025 | Feb 2026 | May 2026 | Aug 2026 |
|---|---|---|---|---|
| Revenue growth | — | 25–30% | 30–35% | 35% |
| Adjusted net income | — | $170M | $180M | $185M |
| Adjusted EPS | $4.35 | $4.70 | $5.10 | $5.25 |
Each raise has been smaller than the last, and the August raise only nudged 2% past where the Street already sat ($5.14). The H2 math is the tell: ~$92M of adjusted net income in H1 against a $185M full-year target leaves ~$93M for the entire second half — effectively zero sequential growth through BNPL's seasonally biggest quarters. Management's own provision framework (2.4% of GMV in Q2, building toward 2.5–3.0% for the year) is the stated mechanism. Either the guide is conservative — the pattern of a serial beat-and-raiser — or the second derivative has genuinely turned. At 33x forward, the market stopped giving the benefit of the doubt tonight.
BULL / BASE / BEAR SCENARIOS
Sezzle is a profitable, high-ROE consumer-credit and subscription platform valued on earnings, with credit provisioning and marketing efficiency as the swing variables. Scenarios flex FY27 EPS and the multiple. Weights: Bull 25% / Base 50% / Bear 25%.
| Scenario (weight) | Driver | Approx. multiple | Fair value |
|---|---|---|---|
| Bull (25%) | SezzleCash/Sezzle Send extend growth into FY27, provisions land at the low end (~2.5%), subscriber cohorts mature profitably; FY27E EPS ~$7.25 | ~27x FY27E | ~$195 |
| Base (50%) | Growth moderates as guided (flat H2, reacceleration modest), provisions mid-range, marketing efficiency steadies; FY27E EPS ~$6.25 | ~22x FY27E | ~$140 |
| Bear (25%) | Consumer credit deteriorates (provisions >3%), SezzleCash losses surprise, subscriber growth stalls as marketing normalizes; FY27E EPS ~$5.00 | ~15x FY27E | ~$75 |
| Probability-weighted | — | — | ~$138 |
Probability-weighted fair value ~$138, modestly below the ~$147 after-hours tape and well below the $168.88 close. The wide bull-bear spread reflects a business model with real operating leverage in both directions: the same credit book that produced +58% adjusted net income growth can compress earnings quickly if the provision curve steepens past 3%, and a 13%-short, momentum-owned register guarantees the repricing is violent either way.
Key Risks & Watch Points
- Provision trajectory: The single most important variable. Q2 at 2.4% of GMV with a 2.5–3.0% FY target means H2 provisioning rises by design; anything above 3% breaks the base case. "Other credit losses" also more than doubled in H1 ($20.7M vs $8.5M).
- SezzleCash loss rates: Cash advances to subscribers, repaid in installments, are a step out the risk curve; early cohort data on the call and in Q3 will set the narrative.
- Marketing dependence: Subscriber records were bought with a 2.2x marketing budget; watch CAC efficiency if spend normalizes.
- Shopify antitrust suit: Monopolization and restraint-of-trade claims survived the motion to dismiss (May 11) and are in discovery — optionality, but also ongoing strategic-project costs alongside the bank-charter application.
- WebBank reliance and BNPL regulation: Origination depends on a partner bank; the sector remains under regulatory scrutiny.
- Crowded register: ~13.4% of float short against a momentum long base; prints resolve violently in both directions (tonight: +7% spike to ~$180, then ~−13%).
What Would Change Our View
- Upside: Provisions holding at/below 2.5% through the holiday quarters, SezzleCash converting subscribers with contained losses, take-rate gains persisting, and an actual H2 beat against the flat implied guide — the serial-sandbagging scenario.
- Downside: Provisions pushing through 3% of GMV, subscriber growth decelerating as marketing normalizes, purchase frequency rolling over, or an adverse turn in the funding markets that reverses the Mesirow cost savings.
